jus.taynails LLC provides professional computer systems design and related services including but not limited to: (a) computer systems architecture and design; (b) computer integrated systems design; (c) professional scientific and technical consulting services; (d) custom software and hardware integration solutions; (e) network infrastructure design and implementation; (f) systems analysis optimization and performance tuning; (g) ongoing technical support and managed maintenance services. Specific scope deliverables timelines and fees will be defined in separate service agreements or statements of work.
As a user of our Website and Services you agree: (a) not to use our Services for any unlawful purpose; (b) not to interfere with the proper functioning of our systems; (c) not to attempt unauthorized access to any part of our systems; (d) not to transmit malicious code or harmful content; (e) not to engage in data scraping without written consent; (f) to respect intellectual property rights; (g) to comply with applicable export and import control laws; (h) to cooperate with us in resolving any policy or security violations.
Fees will be as specified in applicable service agreements. Unless otherwise agreed: (a) invoices are due within 30 days of receipt; (b) late payments may incur interest at 1.5 percent per month; (c) all fees are in United States dollars; (d) you are responsible for applicable taxes; (e) payment obligations are non-cancelable and non-refundable except as expressly provided; (f) we may suspend services for non-payment after written notice; (g) billing disputes must be raised in writing within 15 days.
(a) Ownership — All intellectual property rights in our Website Services proprietary methodologies software tools and documentation remain the exclusive property of jus.taynails LLC or our licensors; (b) License — We grant you a limited non-exclusive non-transferable revocable license to access and use our Website and Services; (c) Deliverables — Upon full payment you receive ownership of custom deliverables created for you excluding our pre-existing intellectual property; (d) Restrictions — You may not copy modify reverse engineer distribute or create derivative works from our proprietary materials without written permission.
Both parties agree to maintain confidentiality of proprietary information disclosed during the business relationship. Confidential information includes technical specifications system designs business plans financial data trade secrets client lists and software code. Each party agrees: (a) to use confidential information solely for the business relationship; (b) to limit access to personnel with a need to know; (c) to protect information with reasonable security measures; (d) to return or destroy information upon request. These obligations survive termination.
To the maximum extent permitted by law: (a) jus.taynails LLC shall not be liable for any indirect incidental special consequential or punitive damages including lost profits data loss or business interruption; (b) our total aggregate liability shall not exceed fees paid by you in the twelve months preceding the claim; (c) these limitations apply regardless of the theory of liability; (d) we are not liable for damages beyond our reasonable control. Some jurisdictions may not allow certain limitations.
You agree to indemnify defend and hold harmless jus.taynails LLC its officers directors employees and agents from any claims liabilities damages and expenses including legal fees arising from: (a) your use of our Services in violation of these terms; (b) your violation of applicable laws or third-party rights; (c) content you submit through our Services; (d) your gross negligence or willful misconduct.

These Terms shall be governed by the laws of the State of Utah and the United States without regard to conflict of law principles. The UN Convention on Contracts for the International Sale of Goods is excluded. Any legal action shall be brought in the courts of Utah County, Utah. By using our Services you submit to the jurisdiction of such courts.
Any dispute shall be resolved as follows: (a) Negotiation — parties shall attempt informal negotiation for 30 days; (b) Mediation — if negotiation fails parties shall mediate before a mutually agreed mediator in Orem, Utah; (c) Arbitration — if mediation fails disputes shall be resolved by binding arbitration under Utah law; (d) Exceptions — either party may seek injunctive relief to protect intellectual property or confidential information. The prevailing party may recover reasonable legal costs.

Your continued use after changes constitutes acceptance of modified terms. If you do not agree you should discontinue use. Review these terms periodically.
If any provision is found invalid or unenforceable by a court of competent jurisdiction that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect.
